A Biden-appointed judge in California has delayed the merger between Paramount and Warner Bros Discovery, granting opponents time to file legal objections. The ruling by District Judge Araceli Martinez-Olguin, appointed in 2023, has added another day of uncertainty to the deal. Opponents, including attorneys general and advocacy groups, have been given until September 25 to submit their amicus briefs, which could further delay the merger.

Legal Challenges and Financial Impact

The merger has faced multiple legal hurdles, with opponents arguing that the consent decree reached with the 12 attorneys general is inadequate and unenforceable. Jessica J. González, co-counsel for Block the Merger, stated that the attorneys general failed to adequately represent the public interest. The delay could cost Paramount over $630 million per quarter, a significant financial burden that has led to legal battles over the settlement.

Paramount’s Defense

Paramount has defended the settlement, claiming it was reached through extensive negotiations and is both procedurally and substantively fair. The studio emphasized that the consent decree includes significant relief in each of the three relevant markets and that the agreement was reached at arm’s length. Paramount’s lawyers argued that the terms of the agreement are binding only on the parties involved, and the preferences of non-parties do not affect its validity.

Uncertain Timeline

Despite the legal challenges, Paramount’s executives remain hopeful the merger will proceed. Ellison, a Paramount executive, expressed confidence that the deal could be finalized within two weeks. However, the ongoing legal battles have introduced a new financial risk, with Warner shareholders facing a $7 million daily fee for the delay.
